The Minnesota cannabis market
Minnesota legalized adult-use cannabis in 2023 and the state’s newly-licensed market is operational in 2026. Regulatory authority
Minnesota’s cannabis program is administered by the Office of Cannabis Management (OCM), a state agency created in 2023 to license cannabis businesses, regulate operations, oversee the medical cannabis program, and administer social equity verification. OCM issues every Minnesota cannabis license and approves every change of ownership or license transfer.
License model & statute
Minnesota cannabis is governed by Minnesota Statutes Chapter 342 and OCM’s implementing rules. Unlike Florida’s single-license vertical model, Minnesota uses a multi-tier license structure: microbusiness, mezzobusiness, cultivator, manufacturer, retailer, wholesaler, transporter, testing facility, delivery, medical cannabis combination business, event organizer, and lower-potency hemp edible. Four categories are capped by statute — cultivator, mezzobusiness, manufacturer, and retailer — making those licenses scarce and disproportionately valuable in the secondary market.
License transfer & change of ownership
Minnesota cannabis licenses are transferable through a state-approved change-of-ownership process administered by OCM under Minn. Stat. §342.12. Any change in majority owner — whether a sale of the business, a new individual being added to the ownership group, or a shift in existing ownership percentages that changes who holds the majority — requires prior written approval from OCM. Pre-licensure applications cannot be transferred, only post-licensure licenses. Social-equity-designated licenses can only be transferred to another verified social equity owner during the first three years of operation — an important constraint that drives a distinct sub-market for social equity deals.
Market maturity & launch status
Minnesota is the newest fully-operational adult-use market in the Midwest. Adult-use legalization was enacted in May 2023 (HF 100); OCM conducted the capped-license lotteries in 2024-2025; and the first microbusinesses and retailers came online in 2025-2026. Existing medical cannabis combination businesses (the original two medical operators) continue to serve patients alongside the new adult-use market. Because Minnesota’s market is so new, this is a land-grab period for operators and acquirers — first-mover advantages on retail locations, distribution relationships, and brand positioning are still being established.
Market data
OCM’s capped license categories — cultivator, mezzobusiness, manufacturer, retailer — are scarce by statute and create the primary M&A inventory at the higher end of the market. Microbusinesses and mezzobusinesses are smaller-footprint vertically integrated licenses (cultivation + manufacturing + retail under one license) that are seeing meaningful early traction. Independent license-only transactions, business-plus-license deals, and standalone cannabis real estate (cultivation properties, retail storefronts) all trade in the Minnesota market. Active inventory is concentrated around the Twin Cities metro, Duluth, and Rochester, with growing outstate opportunities as municipalities approve their first dispensary sites.
